These Terms of Service (the “Terms”) govern your access to and use of CovelBooks, the multi-company accounting platform operated by [Company](“we”, “us”, “our”). By creating an account or using the service, you agree to these Terms. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization.
1. Acceptance of these terms
You may use CovelBooksonly if you can form a binding contract with [Company] and only in compliance with these Terms and all applicable laws. If you do not agree to these Terms, do not use the service. We may update these Terms as described in “Changes to these terms” below.
2. The service
CovelBooks lets finance teams manage a multi-company hierarchy — organizing companies, banks, accounts and cards into a single double-entry ledger. Features include importing bank and card statements from CSV, auto-categorizing transactions with rules, recording transfers between accounts, multi-currency tracking per account and card, and reporting across the whole group. We may add, change or remove features over time.
3. Your account
- You are responsible for the accuracy of the information you provide and for all activity under your account.
- Keep your credentials confidential. Notify us promptly at hello@example.com if you suspect unauthorized access.
- You must be at least 18 years old, or the age of majority in your [Jurisdiction], to use the service.
- Within your organization, access is governed by roles; account owners are responsible for managing who they invite and what those members can see and do.
4. Acceptable use
When using CovelBooks, you agree not to:
- upload content you do not have the right to use, or that is unlawful;
- attempt to access another organization’s data, probe or breach security, or circumvent access controls;
- interfere with or disrupt the service, including by introducing malware or imposing an unreasonable load on our infrastructure;
- reverse engineer, resell or sublicense the service except as expressly permitted; or
- use the service to build a competing product.
5. Subscriptions and billing
Paid plans are billed in advance on a monthly or yearly cycle in U.S. dollars. Payments are processed by our payment provider, Stripe; we do not store full payment card numbers on our systems. By subscribing, you authorize recurring charges to your payment method until you cancel.
- Free trials, where offered, convert to a paid plan unless you cancel before the trial ends.
- You can cancel at any time; cancellation takes effect at the end of the current billing period and access continues until then.
- Fees are non-refundable except where required by law in your [Jurisdiction].
- We may change pricing on renewal; we will give reasonable advance notice before any increase applies to your account.
6. Intellectual property
The service, including its software, design and content, is owned by [Company] and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You retain ownership of the financial data and content you upload (“Your Content”) and grant us a license to host and process it solely to provide the service.
7. Disclaimers
CovelBooksis a bookkeeping and reporting tool. It is not a substitute for professional accounting, tax, audit or legal advice, and we are not your accountant or auditor. The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
8. Limitation of liability
To the maximum extent permitted by applicable law, [Company] will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.
9. Suspension and termination
You may stop using the service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the service or other users. On termination, your right to use the service ends. We will make Your Content available for export for a reasonable period, after which it may be deleted in line with our retention practices.
10. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide notice — for example by email or an in-product notice — before they take effect. Your continued use of CovelBooks after the changes take effect means you accept the updated Terms.
11. Governing law
